Terms of Service

Article 1 - Scope

These Terms of Service apply to all services provided by WEB|SYS, a self-employed entrepreneur specializing in web development, custom applications, system administration and hosting.

Any order implies unconditional acceptance of these Terms of Service by the client.

Article 2 - Quote and acceptance

For any service, a detailed quote is prepared free of charge and sent to the client. This quote specifies:

• Detailed description of services
• Estimated delivery time
• Total price (excluding taxes and including taxes)
• Payment terms

The quote must be accepted by signed return or electronic validation. It is valid for 30 days from its issue date.

Article 3 - Prices and payment

Prices are indicated on the quote. VAT not applicable - art. 293 B of CGI (self-employed entrepreneur).

Payment terms:

• 30% deposit upon order for projects exceeding €1000
• Balance upon project delivery
• For small projects: single payment upon order
• Payment by bank transfer, PayPal or cash

Article 4 - Client obligations

The client agrees to:

• Provide all necessary information for service delivery
• Provide FTP access, hosting, databases if necessary
• Respond to validation requests within a reasonable time (5 working days)
• Provide content (texts, images) compliant with legal requirements

Article 5 - Delivery and acceptance

The service is delivered according to the specifications defined in the quote. The client has a 7 working-day review period after delivery to validate the work or request corrections (within the initial scope).

Delivery times are indicative. Delays cannot give rise to damages.

Article 6 - Intellectual property

Source code ownership is transferred to the client upon full payment. WEB|SYS reserves the right to mention the project in its portfolio.

Logos, graphic designs or third-party elements remain the property of their respective authors.

Article 7 - Warranties

WEB|SYS guarantees its services in accordance with current legislation:

• Warranty of conformity for technical bugs for 30 days after delivery
• Free bug fixes (excluding evolutions) within this period
• Basic training included for handling

Not covered: post-delivery modifications, hosting (unless specific contract), issues related to third-party servers.

Article 8 - Withdrawal right

In accordance with the law, digital services executed with client consent before the withdrawal period ends do not benefit from this right.

For standard projects, a 14-day withdrawal period applies (unless execution begins with consent).

Article 9 - Specific hosting

If the client subscribes to a separate hosting contract:

• Hosting is provided on dedicated or shared servers as per selected offer
• Daily automatic backup (7-day retention)
• Availability commitment: 99% per year
• Exceptional interruption for scheduled and notified maintenance

Article 10 - Liability

WEB|SYS cannot be held responsible for indirect damages, data loss or operational losses. Liability is limited to the total amount of the service.

The client is responsible for their backups, passwords and secure access.

Article 11 - Termination

In case of serious breach not corrected within 15 days following a formal notice, the service may be terminated by law. The client must then pay for services rendered.

Article 12 - Confidentiality

Information exchanged within the framework of the service is confidential. Each party agrees not to disclose the other's sensitive data.

Article 13 - Disputes and applicable law

These Terms are governed by French law. In case of dispute, an amicable solution will be sought. Failing that, French courts will have jurisdiction.

In accordance with article L.612-1 of the Consumer Code, the client may use a consumer mediator.
